Project development contract

When requesting or starting the development of a project, the following terms and conditions apply between the Developer (Nube) and the Client.

Object of the contract
The Client hires the Developer to design, develop and deliver a digital project (Whether software, graphic, etc.) personalized according to the specified requirements. The project will include all the functionalities described in the requirements document provided by the Client and must be delivered approximately on the stipulated date
License of use
The Developer grants the Client an exclusive and non-transferable license to use the developed software. This license is unique to Customer and may not be transferred or sublicensed to any third party without prior written consent.

Customer agrees that Customer may not modify, distribute, transmit, publish, display, transfer, sell, create derivative works from, or use the Software in any way that infringes any intellectual property rights without prior permission from Developer.
Intellectual property
Any project developed will be the exclusive property of the Developer until full payment by Customer. Once the payment is completed, the Developer will transfer to the Client said license, rights and intellectual property titles of the developed project, including access to the files and distribution codes, databases and designs.

In case the Client wishes to access the source code of the developed project, an additional price will be agreed for said delivery, and must be paid in full before the source code is delivered.
Price and payment
Depending on the type of development requested, a Nube team will determine and send the estimate to the Client either by Milestones or full payment which the Client can pay from the site through a preferred secure online payment.

In the event that the Client does not make the payments within the agreed period, the Developer shall have the right to temporarily suspend the delivery of the software until the corresponding payment is made.
Guarantees and responsibility
Developer guarantees that the delivered project will comply with the requirements agreed in the requirements document. The Developer will not be responsible for any loss or damage resulting from the use of the project by the Client or third parties.

Customer acknowledges that Developer does not warrant that the project will be completely free of errors, defects, or interruptions and that Developer will not be responsible for additional repair, maintenance, or bug-fixing costs after delivery, however Customer may contact with the Developer to obtain a solution to said concerns or problems with the delivered project.
Confidentiality
The Developer undertakes not to disclose any of Customer's confidential information to third parties without Customer's prior written consent. In addition, Customer agrees not to disclose any of Developer's confidential information to third parties without Developer's prior written consent.

For purposes of this Agreement, "Confidential Information" means any information, whether written, oral, or electronic, disclosed to one party by the other or obtained by any means that is marked confidential or otherwise, by its nature, should reasonably be considered as confidential.
Force Majeure
The Developer will not be responsible for any delay in the delivery of the project or failure to comply with the obligations of this contract due to causes beyond its control, including, but not limited to, acts of God, natural disasters, strikes, wars or techniques failures.
Dispute Resolution
Any dispute arising in connection with this Agreement shall be resolved by negotiation between the parties. If an agreement is not reached, the dispute will be submitted to the competent courts in the jurisdiction of the Developer, in accordance with the arbitration rules in force at that time.
Amendments to the Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous agreement, whether oral or written, relating to the subject matter of this Agreement.

Modifications

Nube may make modifications to the service, such as adding or removing any services or parts of its functions. You will be previously notified via email in case of a modification that is considered important.
